1. Agreement to these terms
By accessing or using agenticquay.ai (the "Site"), you agree to these Terms of Service ("Terms"). If you are using the Site on behalf of an organization, you agree on its behalf and confirm you have authority to do so. If you do not agree, please do not use the Site.
2. Who we are
The Site is operated by AgenticQuay Inc. ("AgenticQuay", "we", "us"). We provide AI strategy and consulting, systems integration, AI application development and managed AI services, and we build and operate AI-native software platforms.
3. Use of the website
You may use the Site for lawful purposes, such as learning about our services and contacting us. You agree not to:
- attempt to gain unauthorized access to the Site, our systems or other users' data;
- interfere with the Site's operation, including through malware, denial-of-service attacks or excessive automated requests;
- submit false, misleading or unlawful information through our forms;
- copy, scrape or republish Site content for commercial purposes without our written permission, except as permitted for search engines and AI assistants under our robots.txt and llms.txt.
4. Our services and client agreements
Descriptions of services, engagement models, timelines and outcomes on the Site are general information, not offers or guarantees. Any engagement is governed by a written master services agreement, statement of work or order form signed by both parties (a "Client Agreement").
If these Terms conflict with a Client Agreement, the Client Agreement controls. Ownership of deliverables, confidentiality, data processing, fees, service levels and warranties for client work are defined in the Client Agreement.
5. Intellectual property
The Site and its content — including text, graphics, logos, the AgenticQuay name and mark, and software — are owned by AgenticQuay or its licensors and protected by intellectual property laws. These Terms grant you a limited, revocable, non-exclusive license to view the Site for its intended purpose. No other rights are granted.
Third-party names, products and trademarks mentioned on the Site (such as model providers, cloud platforms and enterprise software) belong to their respective owners. Mentioning them describes technologies we work with and does not imply endorsement or partnership unless stated.
6. AI-generated output
AI systems can produce output that is inaccurate, incomplete or inappropriate for a given context. Examples, demos and illustrations on the Site are for information only. Nothing on the Site is legal, medical, financial, tax or other professional advice.
In client systems, we design human review and approval steps for consequential decisions; responsibility for how output is used is set out in the relevant Client Agreement.
7. Information you send us
When you contact us through the Site, we handle your information as described in our Privacy Policy. Please do not send confidential, proprietary or regulated information (such as protected health information) through the contact form. We are glad to sign a mutual NDA before detailed discussions.
If you share ideas or feedback about our services, you agree we may use them without obligation to you.
8. Third-party links and platforms
The Site links to third-party websites and to AI platforms operated by AgenticQuay or its affiliates. Each of those sites has its own terms and privacy practices, which govern your use of them. We are not responsible for the content or practices of third-party sites.
Third-party names, logos and marks shown on the Site, including those of Amazon Web Services, Microsoft Azure and Google Cloud, are trademarks of their respective owners. Their appearance does not imply endorsement beyond any relationship we expressly state.
9. Disclaimers
The Site is provided "as is" and "as available". To the fullest extent permitted by law, AgenticQuay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.
10. Limitation of liability
To the fullest extent permitted by law, AgenticQuay will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow these limitations, so they may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless AgenticQuay and its officers, employees and contractors from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute relating to the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
13. Changes to these terms
We may update these Terms from time to time. The "Effective" date above shows when they last changed. Continued use of the Site after changes take effect means you accept the updated Terms.
